Membership Non-Disclosure Agreement

  1. Purpose: This agreement is to keep private information shared during group coaching sessions confidential.

  2. Confidential Information: This includes personal details, thoughts, business strategies, and anything shared during coaching.

  3. Participant's Obligations: The participant promises to keep the confidential information secret, not share it with anyone, and use it only for coaching sessions.

  4. Exceptions: The obligations don't apply if the information is already public, known before, approved by the company, or developed independently.

  5. Breach Remedies: If there's a breach, the company can take legal action to stop it and seek other remedies.

  6. Governing Law: The agreement is governed by the laws of a specific jurisdiction, and any disputes go to the courts there.

  7. Entire Agreement: This agreement is the whole deal and replaces anything talked about before.

Full Agreement

This Group Lifestyle Coaching Non-Disclosure Agreement (the "Agreement") is entered into by and between True North Revival, LLC (the "Company") and [Participant's Name] (the "Participant"), collectively referred to as the "Parties."

1. Purpose and Scope

The Parties intend to engage in group lifestyle coaching sessions, during which confidential and sensitive information may be disclosed by the Participant. This Agreement aims to protect the confidentiality of such information.

2. Confidential Information

"Confidential Information" refers to any and all information, both oral and written, disclosed by the Participant during the group lifestyle coaching sessions, including but not limited to personal experiences, thoughts, feelings, financial information, business strategies, and any other information designated as confidential by the Participant.

3. Obligations of Confidentiality

The Participant agrees to:

a. Keep all Confidential Information strictly confidential and not disclose, reveal, or discuss it with any third party without the express written consent of the Company. b. Not use the Confidential Information for any purpose other than participating in the group lifestyle coaching sessions. c. Exercise the same degree of care and protection with respect to the Confidential Information as the Participant would with their own confidential information of a similar nature.

4. Exceptions

The obligations of confidentiality shall not apply to any Confidential Information that:

a. Is or becomes publicly known through no fault of the Participant. b. Was rightfully in the possession of the Participant prior to disclosure. c. Is disclosed with the prior written consent of the Company. d. Is independently developed by the Participant without reference to the Confidential Information.

5. Remedies for Breach

The Parties acknowledge and agree that any unauthorized disclosure of Confidential Information may cause irreparable harm to the Company. In the event of a breach or threatened breach of this Agreement, the Company shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

6. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Montana. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Montana.

7. Entire Agreement

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
